A web-wrap agreement is an agreement to abide by the terms of a license agreement signified by downloading the software, data or content to which the license agreement applies. Such agreements generally do not provide for any means by which the user can acknowledge acceptance of the terms of the agreement, separate from the act of downloading itself.
